1. Agreement to Terms

By accessing or using Metricly ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Metricly is a business intelligence platform that connects to your data warehouse and enables natural language queries and dashboard creation. The Service executes queries against your data warehouse at runtime and does not store your data.

3. Account Registration

To use the Service, you must create an account and provide accurate information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer or attempt to extract source code from the Service
• Use the Service to compete with Metricly
• Share your account credentials with unauthorized users

5. Your Data

You retain all rights to your data. Metricly does not claim ownership of any data you access through the Service. You are responsible for ensuring you have the right to access and query the data in your connected data warehouses.

6. Payment Terms

Paid plans are billed monthly or annually in advance. All fees are non-refundable except as expressly stated otherwise. We may change our pricing with 30 days' notice.

7. Free Trial

We may offer a free trial period. At the end of your trial, you will be required to select a paid plan to continue using the Service. We reserve the right to modify or terminate free trial terms at any time.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may suspend or discontinue the Service at any time for maintenance, security, or other reasons.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Metricly and are protected by international copyright, trademark, and other intellectual property laws.

10. Limitation of Liability

To the maximum extent permitted by law, Metricly shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Service.

11. Indemnification

You agree to indemnify and hold harmless Metricly and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account at any time for violation of these Terms or for any other reason. Upon termination, your right to use the Service will immediately cease.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page. Your continued use of the Service constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
